This International Representation Agreement is to confirm the appointment of the undersigned company as an exclusive Representative for specified SpaceAge Control products, effective Tue 3 Mar 2026 6:10:04 EST.
1.0 Territory - Select One Australia Brazil China Denmark/Finland/Norway/Sweden Eastern Europe France Germany Greece India Indonesia/Malaysia/Phillipines/Singapore/Thailand Israel Italy Japan Netherlands New Zealand Portugal/Spain South Korea Taiwan Turkey United Kingdom
2.0 Exclusivity - Representative is the exclusive representation company for the above-named territory. All leads and prospects received by SpaceAge Control for the above-named territory will be forwarded to Representative for action after SpaceAge Control has acted on any request for literature.
3.0 Products - This Agreement covers standard, off-the-shelf SpaceAge Control 3D displacement sensor and air data products, including spare parts and repairs.
4.0 Literature - SpaceAge Control will supply a reasonable amount of English-language literature at no charge.
5.0 Payment - Payment terms will be Net 30 days for all orders. Partial payment in advance may be required for large orders. All payments must be in U.S. dollars. In the interest of reduced administration costs and bank fees, overdue outstanding balances of less than $2,000.00 may be carried over an additional 30 days or until the overdue outstanding balance exceeds $2000.00, whichever comes first.
6.0 Sales and Service - Representative will do best efforts to sell SpaceAge Control products and will not sell any competitive products. Representative will maintain a sufficient service capability.
7.0 Compensation - Representative will buy standard products at ex works Palmdale, California USA price less 25% and may set its own selling prices. Representative's compensation will be in one of two methods: 1) through margins in excess of its cost of purchase or, 2) in situations where the customer desires to order directly through SpaceAge Control, compensation will be through a commission equal to 25% of the invoice price of the product purchased. Any commissions payable will be paid by the 15th of the month after the month in which payment was received from the customer.
7.1 Volume Discounts - Per paragraph 7.0, Representative will buy at discounted single-unit prices. Representative requests for volume discounts will be addressed by SpaceAge Control on an order-by-order basis.
8.0 Term and Termination - This agreement shall continue indefinitely, except that either party may cancel without cause at any time upon 60 days written notice.
9.0 Choice of Law - This agreement shall be construed and governed in accordance with the laws of the State of California, USA.
10.0 Prior Agreements - This agreement terminates any and all prior sales representative agreements entered into by Representative and SpaceAge Control.
